About Natom Industries

An investment and project development platform
focused on Ethiopia.

Natom Industries originates, evaluates, structures, and develops institutional-scale opportunities in Ethiopia — private capital investments, strategic transactions, public-private partnerships, concessions, major bids, and capital-intensive projects.

We combine corporate finance and investment expertise with the local presence required to move complex opportunities through commercial assessment, government and stakeholder coordination, financing, award, and implementation.

The Firm

Built for institutional transactions and large-scale projects.

Investment analysis, transaction structuring, public-sector coordination, and local execution — held together in one platform.

Natom Industries operates where investment analysis, transaction structuring, public-sector coordination, and local execution must work together.

Our engagements typically involve significant capital requirements, multiple stakeholders, formal procurement or award processes, complex risk allocation, or the entry of an international partner into Ethiopia.

Origination
Identify investment, acquisition, concession, and project opportunities before substantial capital is committed.
Underwriting
Assess commercial viability, valuation, risk, capital requirements, transaction structure, and potential returns.
Execution
Coordinate the local, financial, institutional, and transaction work required to move an opportunity forward.

Investment Profile

The types of opportunities we undertake.

Four routes into the same market, each with a different structure and a different counterparty set.

i

Private Capital

Growth investments, structured equity, private debt, project finance, and other forms of private capital.

ii

Strategic Transactions

Acquisitions, divestitures, joint ventures, corporate restructurings, carve-outs, and other negotiated transactions.

iii

Public-Private Partnerships

PPP projects, concessions, competitive tenders, unsolicited proposals, and consortium-led bids.

iv

Project Development

Capital-intensive projects requiring feasibility work, commercial structuring, financing, institutional coordination, and long-term implementation.

We focus on opportunities where financial judgment and local execution materially affect the outcome.

Investment Assessment

How assets, projects, and transactions are evaluated.

Five questions answered before an opportunity is taken forward.

Every opportunity is reviewed according to its commercial basis, financial characteristics, risks, execution requirements, and potential routes to value realization.

Market and revenue
Demand, pricing, competition, customer concentration, offtake arrangements, and the durability of projected cash flows.
Valuation and returns
Enterprise value, asset value, capital requirements, expected returns, downside exposure, and sensitivity to changes in key assumptions.
Risk allocation
Commercial, financial, regulatory, operational, political, currency, counterparty, and implementation risks.
Capital structure
The appropriate combination of equity, debt, project finance, guarantees, and other financing instruments.
Execution and exit
Approvals, partners, procurement requirements, implementation capacity, governance, and potential exit or value realization routes.

The purpose of the assessment is to determine whether the opportunity has a defensible investment basis and a workable path to execution.

Investment Process

The stages of an engagement.

Select a stage to see what the work involves.

Natom’s role may cover the full process or a defined part of it, depending on the opportunity and engagement structure.

Corporate Finance

Financial and transaction work within the platform.

The analytical work that sits underneath every mandate and every bid.

We assess market demand, sector conditions, policy environments, technical requirements, commercial structures, and financial viability.

This work includes feasibility studies, investment cases, business plans, business model design, financial projections, and project finance models prepared for institutional review.

We conduct business and asset valuations using discounted cash flow, comparable company, precedent transaction, and other appropriate methods.

Our due diligence work covers commercial, financial, and operational matters, including historical performance, quality of earnings, cash flows, liabilities, risk exposure, and the assumptions underlying the proposed investment or transaction.

We structure and assist with private equity, debt, project finance, and other capital-raising processes.

This includes preparing investment materials, financial models, pitch decks, and information memorandums, as well as engaging with investors and lenders, responding to diligence requests, evaluating indicative offers, and assisting with financing negotiations.

We advise on acquisitions, disposals, mergers, joint ventures, corporate restructurings, and carve-outs.

Our work includes acquisition strategy, target assessment, investor mapping, buy-side and sell-side preparation, valuation, due diligence coordination, proposal evaluation, transaction structuring, and negotiation support.

Partnership Model

Project partnerships and early-stage participation.

Where Natom commits its own resources ahead of award.

Natom Industries works with international sponsors, investors, contractors, operators, and technical firms pursuing opportunities in Ethiopia.

Within selected partnerships, Natom may commit its own resources and absorb agreed early-stage costs required to establish and develop an opportunity — origination, market assessment, preliminary studies, local coordination, stakeholder engagement, commercial structuring, consortium formation, and bid preparation.

1

Alignment

The parties agree on the opportunity, development strategy, responsibilities, cost allocation, governance, and intended commercial outcome.

2

Development

Natom and its partners carry out the financial, technical, institutional, and bid-related work required before award or financial close.

3

Participation

If the opportunity proceeds, the parties continue under the agreed investment, consortium, development, or project structure.

Risk is agreed before work begins

Natom’s participation is determined on a case-by-case basis. The amount of early-stage cost absorbed, the risks carried, ownership of the work, decision rights, and future economic participation are documented before material commitments are made.

International Partners

Working with international firms in Ethiopia.

Capability and standing are different assets. Both are required.

International firms often bring the technical capability, balance sheet, operating experience, or delivery record required for large projects. Natom provides the local investment, commercial, institutional, and execution capacity required to apply those capabilities in Ethiopia.

International partner

What they bring

Technical expertise, sector qualifications, technology, equipment, financing capacity, operating experience, and project delivery credentials.

Natom Industries

What we hold

Opportunity origination, local market analysis, financial and commercial structuring, government and stakeholder coordination, consortium development, bid preparation, and in-country execution.

The division of responsibility is established for each opportunity. Natom can remain involved beyond market entry or bid submission — through financing, negotiation, implementation, and operation where required.

Forms of Engagement

Advisory mandates and risk-sharing partnerships.

Two structures, distinguished by who carries the exposure.

Mandate

Institutional advisory

Natom is appointed for a defined scope of investment, corporate finance, transaction, or project work.

Assignments may include feasibility studies, valuation, due diligence, financial modeling, capital raising, acquisition or disposal advisory, restructuring, PPP preparation, bid support, and project finance.

The client retains ownership of the asset, project, or transaction, while Natom performs the agreed professional and execution responsibilities.

Partnership

Risk-sharing partnership

Natom participates alongside one or more sponsors, investors, contractors, operators, or technical partners.

The partnership may be structured through a consortium, joint venture, project company, development agreement, or another project-specific arrangement. Natom may contribute development resources, local execution capacity, financial and commercial work, and agreed early-stage costs.

The structure defines each party’s contribution, exposure, governance rights, ownership, responsibilities, and potential return.

Sector Approach

Institutional work across sectors.

Select a sector to see the scope.

Natom Industries is not limited to one industry. We evaluate opportunities across sectors where the transaction or project requires institutional capital, formal structuring, credible technical partners, and sustained local execution.

What Natom provides

The financial, transaction, and local execution platform — origination, structuring, institutional coordination, and delivery in-country.

What partners provide

Sector-specific technical work, undertaken with appropriately qualified operating, engineering, legal, and technical partners.

One platform applied across sectors — not a separate capability built for each.

Our Experience

More than a decade in corporate finance and investment.

Our experience spans corporate strategy, mergers and acquisitions, valuation, fundraising, due diligence, market studies, project finance, financial modeling, business restructuring, and investment preparation.

This experience is applied to institutional assets, private capital transactions, major bids, PPPs, and complex projects requiring coordinated financial and in-country execution.
